Following the meetings of seven committees of the Board, the Board of Visitors of the University of Virginia met as the full Board in open session at 1:00 p.m. on Friday, March 4, 2022. Whittington W. Clement, Rector, presided. Open session was streamed live.

The Rector called the meeting to order and led the Visitors in the Pledge of Allegiance.

Action Item: Commending Resolution for Sarita Mehta


Rector Clement said this was Ms. Mehta’s last regular meeting, and before reading the commending resolution, a clip of Ms. Mehta speaking about the Karsh Institute of Democracy was shown. Ms. Mehta is a member of the advisory board and has been an important student voice on the importance of educating on democracy.


Dr. Lateef read the following commending resolution for Ms. Mehta. On motion duly seconded, the resolution was approved:


COMMENDING RESOLUTION FOR SARITA MEHTA


WHEREAS, Sarita Mehta of Austin, Texas, is a fourth year in the College of Arts & Sciences, majoring in Politics Honors and Psychology, who will graduate in May 2022; and


WHEREAS, Ms. Mehta is a member of the Honor Committee, former member of the Judiciary Committee, an editor for the Virginia Review of Politics, an engaged member of the Delta Delta Delta sorority, and a member of the newly-formed advisory board of the Karsh Institute of Democracy; and


WHEREAS, Ms. Mehta is a recipient of the Double Hoo Award and awards from the Jefferson Trust and the Diversity and Equity Initiative that have funded her Psychology research on perceptions of race, specifically, conversations about race, humility, and apologies; and


WHEREAS, as student representative to the Board of Visitors for 2021-2022, Ms. Mehta has helped to inform the Board of student perspectives on a number of timely and important issues including undergraduate advising; student mental health programs; pandemic policies and response; diversity and inclusion initiatives; enrollment policies; and student self- governance and engagement; and


WHEREAS, Ms. Mehta’s affable demeanor and sharp wit have been a welcome addition to Board discussions;

RESOLVED, the Board of Visitors commends Sarita Mehta for her devoted service to the Board and the University, respects her as a valued colleague, and wishes her success and happiness in all of her future endeavors.

Leadership Discussion


Following some introductory comments, President Ryan said the discussion would focus on one piece of good news Visitors might not have heard much about, one challenge that the University is facing, and one thing on which he would like feedback.

Good news: Community Partnerships

The President’s Council working groups have been active on affordable housing, the local economy, pipelines and pathways, early childhood education, and public health. They have made progress on the Good Neighbor initiative over the past three years, despite the pandemic, and they opened the Center for Community Partnerships in November 2020 which is meant to be both a front door to the University for community members and a collaborative space for UVA’s existing community efforts.

The Health System has offered Covid-19 testing to the community since the pandemic began. UVA has offered more than 15,000 total tests to the community since the start of the pandemic in 14 different locations, and over 95,000 vaccines were administered. Some details:

  1. UVA Health conducted more than 100 pop-up events in partnership with Blue Ridge Health District and other community partners including the Latino Health Initiative, the Your Life Matters Movement and others.



  1. The Homebound Program, a partnership between UVA Health, BRHD and the Charlottesville Fire Department, has provided 1,185 doses to 846 individuals in their residences, and continues to operate three days weekly.


  1. Southwood Homes, one of the sites coordinated by Dr. Max Luna and the Latino Health Initiative, has hosted a dozen events, providing more than 1,000 doses to this predominantly Latinx mobile home neighborhood, many of which went to children.


  1. WELLaware community health workers program was launched via a partnership between UVA Health and its Office of Diversity and Community Engagement, to address disparities in health outcomes in Charlottesville by deploying community health workers who live in the communities they will serve and already have built-in networks and trust. They will work to make connections with neighbors, discuss their health issues and concerns, provide basic health education, and connect them as needed to health care services.


  1. Appointment of Kevin McDonald and adding community partnerships to his role.

Challenge: Covid Fatigue

Two years ago, following Spring Break, UVA moved all classes online and students went home for the semester. The challenge is that it has been two years and there are still restrictions on daily life. The fall semester was fairly normal, and then the Omicron variant hit in the winter and required re-imposing some restrictions.

The spring semester had to begin with many events held virtually and with an indoor mask mandate. President Ryan said the plan is to lift the mask mandate on March 21, a week after students return from spring break. There continue to be significant repercussions from COVID: staffing shortages on the academic division and in the health system, including a nurse turnover rate of more than 20%, and the need to learn how to be together again, as well as students learning for the first time the traditions of UVA. Only the fourth years have a had a year free of COVID. He said there is work to do as we emerge from this latest variant. Some initiatives underway:

  1. The President’s office has started an initiative to surprise a different staff group every Friday with gifts and gratitude.



  1. The annual Staff Appreciation Breakfast is back next week.


  1. UVA has augmented mental health offerings for employees.


  1. The Pipelines and Pathways Working Group is working to increase the number of disadvantaged community residents hired by the University and to support them in advancing their careers.


  1. The plan is to have a normal Finals Weekend, and normal reunion weekends, Arts on the Hill, Run with Jim, and other spring events as a way to celebrate a return to a more familiar and enjoyable working and learning environment.

Feedback item: Key Initiatives: What’s next?

President Ryan showed a slide with the four overarching goals of the 2030 Strategic Plan:

  1. To strengthen our foundation, which means supporting our students, faculty, and staff;



  1. To cultivate the most vibrant community in higher education, in order to prepare students to be servant-leaders in a diverse and globally connected world;


  1. To enable discoveries that enrich and improve lives; and


  1. To make UVA synonymous with service.

He then showed the ten key initiatives which were designed to advance multiple goals at once. The initiatives were intended to be modified as conditions warranted. They were hypotheses to be tested and then revised as they learned more. For instance, they could not have foreseen the pandemic, the attack on the Capitol building, the massive protests in the wake of the George Floyd murder, and now a war in Europe. The question is whether those events, or others, mean they ought to modify the orientation toward the 10 initiatives. There has been significant progress over the last two years and he provided a couple of examples including the development of the Emmet-Ivy corridor, including securing a lead gift for a new performing arts center and the gift and plans for the Karsh Institute of Democracy.

He asked the Visitors to tell him if there are some initiatives that deserve more focus in the short term, and perhaps these are different from what they thought was most important two years ago--or maybe they are exactly the same? Visitor comments included the following:

  1. Encourage intellectual diversity and freedom of speech.

  2. Workforce skills cannot be ignored but should be offered in conjunction with a liberal arts education.

  3. Recruit excellent faculty.

  4. Research preeminence—we are not where we need to be.

  5. Be a student-centric university—COVID impacted students may need extra help both academically and socially (including mental health services).

  6. Decreasing number of men accepted—do we need smaller classes?

  7. What is the future of tenure track? Should we be looking for something different in faculty? Board would like to understand the categories of faculty better.

  8. University/Education School should be involved in pre-K and K-12 education.

  9. Free parking for nurses.

  10. Advising: would like to see a specific timetable and pilot program.

  11. COVID will define the next 5 years—possibly 11th item. Steps to make students care about community.  Mental health/advising services

  12. Should UVA take more ownership of student self-governance? There has been a break with students because of COVID and they are not as invested in the community.

  13. Teacher shortage in state—expand teacher training.

  14. Focus on engaging students between acceptance and matriculation. 

  15. Make more progress with consistent leadership.

  16. President Ryan can be a national thought leader on one or more issues.

  17. Tell the story about the progress already made under the 2030 Plan.

  18. Reach out beyond “tribes;” this would be an enormous benefit to citizen leaders and to society.

  19. Maintaining academic rigor is number one!



Remarks/Reports


Remarks by the Rector


The Rector spoke about plans for a Retreat in August. He wants to focus on a few big issues and do a deeper dive on those. He asked the Board members for any thoughts on topics.


Mr. Clement mentioned the exceptional efforts of Provost Magill during her almost three--year tenure as provost. He said the Board is thrilled to have Ian Baucom join the senior leadership team because he has a great deal of institutional knowledge, and he is a pleasure to work with.


Remarks by the Student Representative


Ms. Mehta took a moment to recognize the people of Ukraine during this time of injustice and devastating conflict, and then she gave her remarks.


Ms. Mehta said she is asking the same three questions she asked at her first meeting: What comprises a true education? What role should a university play in this, at a fundamental level? And Is UVA upholding these tenets? She reflected on the past ten months and focused on academic life, community, mental health, and student self-governance.


She quoted James Baldwin on the purpose of education: “The purpose of education, finally, is to create in a person the ability to look at the world for himself, to make his own decisions, to say to himself this is black or this is white, to decide for himself whether there is a God in heaven or not… To ask questions of the universe, and then learn to live with those questions, is the way he achieves his own identity.”


She said she would like to emphasize the ideas of autonomy and certainty, or the ability for students to “make their own decisions,” meaning students should have a feeling that they are in control of their path and time at UVA. Both first years and fourth years have expressed a feeling of uncertainty and a lack of choice in their academic decisions. There are barriers of logistics, major caps, and sign-up times. A student once commented, “Even as a fourth year, It isn’t about the classes I want to take, it’s about the classes that are open.”


Ms. Mehta tied this issue to advising, but also structures separate from advising. Students ought to have the control to determine what they want to do and then to do it, while not being at odds with the structures of the university. A staircase sort of mindset, but the first step is uncertain, and everything past that is uncertain as well. She thought it was worth the time to reconsider the structures, systems, and choice architecture in place which shape and limit student choice and autonomy within academics. Ideally, students from day one should feel like their sole constraint is their own interests, passions, and work ethic. This goes hand in hand with the Strategic Plan’s goal of “ensuring that our systems enable our students, faculty, and staff to do their best work.” Because the best work is the work you genuinely want to do.


She thanked the Board and senior administration for rethinking advising, and said she was grateful to the new provost for hitting the ground running with this initiative and long-standing student grievance. The pandemic has added a sense of urgency to this already long overdue change.


She moved on to the second point in James Baldwin’s quote: what it means to achieve your identity through education. Part of this is in the classroom, but the bulk of this happens outside of the classroom, in the person- to- person interaction that is life at UVA.


College may be the only time in a student's life where they are surrounded by people incredibly different from themselves. UVA must prioritize the structures, practices, and spaces which best capitalize upon this awesome moment of congruence and difference. Ms. Mehta said the second-year housing initiative was a “step forward” in students living with and learning from people who are different from them. The pandemic has made the need to create more of these opportunities urgent.


Ms. Mehta said she thinks the discomfort in having your opinions and beliefs pushed up against is important. Being comfortable and surrounded by the familiar is becoming the new norm, but “to lose the power of confrontation is to lose the power of unity.” She cited the Center for Politics “Common Grounds” film as an example of the kind of thing that should be commonplace at a university. Students should have the ability to engage without resorting to cancel-culture or looking to echo chambers—it is one of the greatest contributions a university can provide to the future of democracy.


Ms. Mehta also spoke about the expanded mental health resources provided by the University and their importance.


Her final topic was student self-governance. She said there were different expectations of what that means among students, and the tradition of student self-governance needs upkeep and vigilance. It cannot be taken for granted.


Ms. Mehta thanked the Visitors for the experience as student representative, and gave a special thank you to Rector Clement, who she said she particularly enjoyed working with. She ended with a quote from Jacob Riis, “When nothing seems to help, I go and look at a stonecutter hammering away at his rock perhaps a hundred times without as much as a crack showing in it. Yet at the hundred and first blow it will split in two, and I know it was not that blow that did it, but all that had gone before.”

Remarks by the Faculty Senate Chair

Faculty Senate chair Susan Kirk, M.D, gave remarks. She mentioned that a faculty colleague told her Virginia seasons follow their own unique pattern with 12 distinct seasons:



She said they are still in ‘Second Winter’ despite the official start of Spring Break the next day.


Dr. Kirk said the faculty have engaged with two issues recently. One was the rapid selection of a provost following the resignation of Ms. Magill to take the presidency at the University of Pennsylvania. She said the decision to appoint Ian Baucom into the position without consultation and a national search concerned many faculty. She said a meeting with President Ryan on his rationale for the process satisfied most, and they look forward to working with Provost Baucom and the team in the Provost’s office.


The second issue was that UVA has two faculty governing bodies, the Faculty Senate and the General Faculty Council. She gave a history of each body:


The Faculty Senate was created in 1926 by then-President Alderman. He believed that the size of the total faculty, which had grown to 97, was too large to serve as its legislative body, hence a smaller group was elected to serve this purpose. The name ‘Faculty Senate’ wasn’t assigned until 1971, when the Constitution and Bylaws were ratified. The history of the General Faculty Council is much more interesting. I’ve spoken with several of its founding members recently and learned that it came into existence in the late 1980s as an advocacy body for women faculty. At the time, the only group that existed for women at UVA was a club for the wives of faculty. There were very few women faculty at that time, and many had been hired as the ‘trailing spouse’ – a term that is no longer in favor. Often the school that was hiring the male faculty member did not want to hire the wife, and so the Provost’s office offered the appointment with the designation of ‘general faculty’- thankfully we have come a long way since then! But according to one of the founding members, general faculty were not welcome in the Faculty Senate at that time. In 1992, this group took a proposal to then-Provost Thomas Jackson asking for a specific governing body to advocate for their needs. With that request, the General Faculty Council was born. Today, in 2022, academic general faculty can serve in either the Faculty Senate or the General Faculty Council, although only the Council allows other types of faculty such as Professional or Research in their membership.


Dr. Kirk said her research indicates that this is unusual, and many universities are more inclusive with membership in their faculty governing body. They are considering combining the two bodies.


She also spoke about the category “Wage Faculty” who are underrepresented in both bodies. Provost Policy 026 defines these faculty as those who are hired to complete a short-term and/or part-time academic work assignment, such as teaching one or more courses for one or two academic terms. Moreover, Faculty wage employment is usually less than 0.5 FTE (teaching fewer than 6 credits1 or the equivalent of no more than 19 hours per week); is offered for only one or two semesters at a time. She said the data show that some Wage Faculty do not fall within this definition and are a sizeable minority of the instructional faculty. For the fall semester, 15% (446) were Wage Faculty. She is trying to find ways for the Faculty Senate to represent these faculty.

Summary of Fiscal Year 2022 through December 31, 2021


Total fundraising progress for the University of Virginia and its related foundations was $320,566,732 through December 31, 2021. Gifts and Commitments to the University, Athletics, McIntire School of Commerce, College of Arts & Sciences, School of Medicine, School of Law, Jefferson Scholars, Darden School of Business, Medical Center, Fralin Museum of Art, UVa’s College at Wise, School of Nursing, School of Leadership and Public Policy, Architecture School, Miller Center, and Jeffersonian Grounds showed increases over the previous fiscal year.

Closed Session


At 2:20 p.m., Mr. Brown read the closed session motion, and after approving the motion, the voting members present and the faculty and student representatives to the Board met in closed session. James E. Ryan, Jennifer Wagner Davis, K. Craig Kent, M.D., M. Elizabeth Magill, Susan G. Harris, David Martel, Debra D. Rinker, Margot M. Rogers, and Jasmine H. Yoon also participated in part of the closed session.


I move that the Board of Visitors go into Closed Session to consult with legal counsel on actual litigation and to receive legal advice about specific legal and regulatory matters; to discuss and consider elections, appointments, promotions, salaries, resignations, separations, and retirements of faculty and senior officers including discussion of the terms of employment agreements for senior level leadership; and to hear a report on plans for enhancing the safety of persons using University buildings and grounds in light of recent violent conduct at and around Virginia colleges and universities. The relevant exemptions are Sections 2.2‐3711 A (1), (7), (8) and (19) of the Code of Virginia.


At 3:20 p.m., the Board resumed in open session, and, on motion by Mr. Brown, which was duly seconded, certified that the deliberations in closed session had been conducted in accordance with the exemptions permitted by the Virginia Freedom of Information Act. Ms. Harris called the roll, and all members present voted in the affirmative: Mr. Clement, Mr. Hardie, Mr. Blue, Mr. Bowles, Mr. Brown, Mr. Conner, Ms. Cranwell (via phone), Mr. DePasquale, Ms. Fried, Mr. Haddad, Dr. Lateef, Mr. Murray, Mr. Payne, and Mr. Poston. The certification motion was as follows:

Final Session

Mr. Clement reminded the members of the Board that the consent and action items were presented in committee except as otherwise stated.


On motion, duly seconded, the Board approved the extension of the employment agreement with President Ryan to July 31, 2028.


On motion, duly seconded, the Board approved the appointment of Lily A. Roberts as the student representative and Dr. Susan A. Kirk as the faculty representative for academic year 2022-2023.


President Ryan read the titles of the consent and action items. On motion, duly seconded, the consent and action items as well as the faculty personnel actions discussed in closed session, were approved.


ACTION ITEMS


1. RENAMING MAURY HALL AS JOHN W. WARNER HALL

(approved by the B&G Committee on March 3, 2022)


WHEREAS, in 1941, the building of a Naval ROTC building on Grounds was both initiated and funded by the U.S. Navy, with the cooperation of the University of Virginia. The building was completed in 1942 and named by the Navy after the distinguished astronomer, oceanographer, meteorologist, and cartographer Matthew Fontaine Maury; and


WHEREAS, Maury Hall, as well as Halsey Hall, has been the home for the Naval ROTC program ever since it was built; however, it is now owned by the University and is used for general classroom instruction as well as NROTC; and


WHEREAS, Matthew Fontaine Maury had no affiliation with the University and was an outspoken advocate for the policy that slave-holding states should establish a commercial slave network with Brazil (and other parts of South America), so that plantation owners and their slaves might colonize that area, clearing the Amazon valley and subsequently farming the region with slaves they owned; and


WHEREAS, the Maury name does not meet the naming criteria established by the University; and


WHEREAS, the Naming & Memorials Committee and President Ryan recommend renaming Maury Hall for John William Warner III, a graduate of the School of Law, Korean War veteran, Under Secretary of the Navy, Secretary of the Navy, and long-serving U.S. Senator representing the Commonwealth of Virginia; and


WHEREAS, Senator Warner passed away in May 2021;


RESOLVED, the Board of Visitors renames Maury Hall for John William Warner III, a distinguished public servant and faithful friend to the University of Virginia. The official name will be John W. Warner Hall.




2. NAMING THE KEUNEN GARDEN AT THE DARDEN SCHOOL OF BUSINESS

(approved by the B&G Committee on March 3, 2022)


WHEREAS, Charles G. Duffy III is a 1987 alumnus of the Darden School of Business; and


WHEREAS, Mr. Duffy is a philanthropist and has been a longtime, generous supporter of the University of Virginia, including the Darden School and the Jefferson Scholars Foundation; and


WHEREAS, Mr. Duffy became friends with Jeannine Keunen during their mutual classes in Fribourg, Switzerland, where they both studied abroad; and


WHEREAS, Ms. Keunen died in 2009 at the age of 57, and Mr. Duffy wishes to honor her memory and their friendship; and


WHEREAS, the Darden School seeks to recognize Mr. Duffy’s philanthropy and his wish to honor his friend by naming a garden in the Flagler Courtyard, a space where members of the Darden community gather, study, and reflect;


RESOLVED, the Board of Visitors approves the naming of Keunen Garden; and


RESOLVED FURTHER, the Board of Visitors offers profound thanks to Charles G. Duffy III for his generous support of the University.


3. THE JOHN L. NAU III PROFESSORSHIPS IN THE HISTORY AND PRINCIPLES OF DEMOCRACY

(approved by the Academic and Student Life Committee on March 3, 2022)


WHEREAS, John L. Nau III took a B.A. in History from the College and Graduate School of Arts & Sciences in 1968. He is the Chairman and Chief Executive Officer of Silver Eagle Distributors, LP, the nation’s largest distributor of Anheuser-Busch products. From 1995 to 2001, he served on the Alumni Association Board of Managers, and from 2011 to 2015, he served on the Board of Visitors. WHEREAS, James A. Cooper took an M.B.A. from the Darden School of Business and an M.S. and B.S. in Engineering from the University of Missouri–Columbia. Active in private equity for 25 years, he founded Thompson Street Capital Partners (TSCP) in 2000 and is the firm’s senior managing partner; and


WHEREAS, Stacy Cooper took a B.S. in Economics from the University of Pennsylvania in 1981 and currently volunteers in her community. She previously served as Trustee and an executive board-at-large member of the City Academy in St. Louis, Missouri, a private elementary school offering full scholarship support; and


WHEREAS, the donor’s intent in providing the funds for a professorship is to support a distinguished scholar in the Darden School of Business in the field of Business Administration;

WHEREAS, Elizabeth H. Lynch took a B.A. from Wesleyan University and an M.B.A. from the Darden School of Business in 1984. She is currently a senior managing director and the chief human resources officer at Evercore, an independent investment banking advisory firm and serves on the Darden Foundation Board of Trustees; and


WHEREAS, Daniel S. Lynch is a graduate of Phillips Academy and took his B.A. in Mathematics from Wesleyan University in 1980. He took an M.B.A. from the Darden School of Business in 1984. He has been an investor in startup healthcare companies, especially in early-stage firms involved in the convergence of technology and genomics, and is currently Executive Venture Partner and senior member of the life sciences team at GV, formerly Google Ventures; and


WHEREAS, the donors’ intent in funding an endowed chair is to support an emerging scholar at the Darden School of Business. The University’s Bicentennial Professorship Fund will provide matching support for the gift;

WHEREAS, John P. Connaughton took a B.S. in Commerce from the McIntire School of Commerce in 1987 and majored in Finance. He went on to receive an M.B.A. from Harvard Business School in 1990. Stephanie F. Connaughton took an undergraduate degree from Harvard University and an M.B.A. from The University of Pennsylvania’s Wharton School of Business; and


WHEREAS, Mr. Connaughton became Co-Managing Partner of Bain Capital, a leading global private investment firm, in 2016, while continuing to serve as Global Head of Bain Capital Private Equity. Over his career, Mr. Connaughton has worked on a number of the firm’s most important healthcare and technology investments; and


WHEREAS, Mr. and Mrs. Connaughton were compelled to give to an experiential academic program in alternative investments given Mr. Connaughton’s successful career in this space. The professorship fund will support faculty focused in the field of Alternative Investing who will develop a world-class and experiential program through curriculum, programs, and research;

9. THE SHUMWAY BUSINESS HEALTH SCIENCE PROFESSORSHIP

(approved by the Academic and Student Life Committee on March 3, 2022)


WHEREAS, Chris Shumway took a B.S. in Commerce from the McIntire School of Commerce in 1988 and majored in Finance. He went on to receive an M.B.A. from Harvard Business School in 1993; and


WHEREAS, in 2001, Mr. Shumway founded Shumway Capital, a global investment firm focused on private equity-style research in public markets that grew from $70M to over $9B in assets. In 2011, Mr. Shumway converted Shumway Capital into a family office to allow for a more flexible investing mandate focused on long-term, opportunistic investments in private and public securities. Since 2011, Mr. Shumway has overseen investments in numerous industries, including media, technology, telecom, healthcare, and consumer; and


WHEREAS, Chris and Carrie Shumway and The Shumway Foundation have been generous donors to the University and the McIntire School of Commerce, supporting many initiatives including the McIntire Annual Fund, the McIntire Building Campaign, and the Faculty Excellence Fund. Additionally, the Shumways are the lead donors of the Next Century Building Fund for the McIntire School of Commerce; and


WHEREAS, Chris Shumway serves on the McIntire Foundation Board and the Honor the Future Campaign Executive Committee. He is a visiting professor at McIntire, teaching Global Macro Investing, and he frequently serves as a speaker and panelist for other classes and programs; and


WHEREAS, the Shumway Business Health Science Professorship is intended to advance collaborative efforts between the McIntire School of Commerce and the School of Medicine to create educational opportunities that integrate business concepts into biomedical science and health care leadership studies. This chair will support teaching in programs at the intersection of business and the health sciences, with an emphasis on bioscience;

10. THE DAVID W. THOMPSON DISTINGUISHED PROFESSORSHIP IN PUBLIC ACCOUNTING

(approved by the Academic and Student Life Committee on March 3, 2022)


WHEREAS, David W. Thompson took two degrees from Indiana University, a B.S. in 1938 and an M.S. in 1940. He taught at Indiana University from 1942 to 1955, becoming a full professor in 1948. Prior to this, he taught at Sanford University in Alabama and at Butler University in Indianapolis; and


WHEREAS, Mr. Thompson then spent 22 years in the private sector, at General Electric Company and then with Peat, Marwick, Mitchell & Co., now KPMG; and


WHEREAS, in 1976 he returned to academia as a member of the faculty at the University. He retired from UVA in 1985 after nine years on the faculty. An expert in financial cost and not-for-profit accounting, Mr. Thompson held Certified Public Accountant certificates in 16 states; and


WHEREAS, Mr. Thompson designated a portion of the remainder of a testamentary charitable remainder trust to the McIntire School of Commerce for the purpose of funding an endowed professorship for an eminent scholar and full professor who has scholarly and research interests in international and global accounting;


RESOLVED, the Board of Visitors establishes the David W. Thompson Distinguished Professorship in Public Accounting.


11. THE MELVILLE FOUNDATION JEFFERSON SCHOLARS FOUNDATION UNIVERSITY PROFESSORSHIP

WHEREAS, Donors the Melville Foundation and the family of Harry Burn (B.A. 1966 and MBA 1975) have provided funding for the Melville Foundation Jefferson Scholars Foundation University Professorship; and


WHEREAS, the donors chose to fund a University professorship in recognition of the critical importance of having outstanding scholars whose perspectives will enhance the intellectual diversity of their departments; and

12. DISPOSITION OF REAL PROPERTY: SHIRLEY MCIVOR TRUST

(approved by the Finance Committee on March 4, 2022)


WHEREAS, The Rector and Visitors of the University of Virginia (the “University”) is the beneficiary of the Amended and Restated Shirley McIvor Revocable Trust dated December 22, 2009 (and as subsequently amended the “Trust”) and under the terms of the Trust is entitled to receive certain commercial property owned by Ms. McIvor or held in the Trust at the time of her death (the “Property”). The Trustee of the Trust (the “Trustee”) has identified the Property as being located at 3806-3810 Old Forest Road, Lynchburg, Virginia. The University was entitled to receive the Property as of the date of Ms. McIvor’s death, which occurred on November 15, 2021, and title to the Property has not yet passed to the University; and


WHEREAS, the Board of Visitors finds it to be in the best interest of the University for such Property to be transferred from the Trust directly to the University of Virginia Foundation (“UVAF”) so that UVAF may manage, maintain, market, and sell the Property on behalf of the University; and


WHEREAS, the Board of Visitors also desires to authorize the University to alternatively accept title to the Property from the Trust and sell the Property in the event the transfer of the Property from the Trust to UVAF for the foregoing purposes is not feasible;


RESOLVED, the Board of Visitors hereby approves and authorizes the transfer of the Property from the Trust to UVAF, so that UVAF may manage, maintain, market, and lease or sell the Property for the benefit of the University; and


RESOLVED FURTHER, in the event that, in the determination of the Executive Vice President and Chief Operating Officer, the transfer of the Property from the Trust directly to UVAF for such purposes is not feasible, then the University is authorized to accept title to and sell the Property; and


RESOLVED FURTHER, the Executive Vice President and Chief Operating Officer is authorized, on behalf of the University, to perform any or all of the following: to approve the transfer of the Property from the Trust to UVAF; to approve the sale of the Property by UVAF pursuant to applicable UVAF policies and procedures and agreements with the University; to approve the sale of the Property by the University for such price and in such manner as she may deem reasonable; to execute all deeds, documents, and agreements as deemed necessary and appropriate to approve and consummate any of the foregoing; to approve such reasonable and customary expenses, if any, as may have been or may be incurred by any of the Trustee, the University, or UVAF in connection with the maintenance, evaluation, and sale of the Property; and to take such other actions as deemed necessary and appropriate in connection with the foregoing; and


RESOLVED FURTHER, all prior acts performed by the Executive Vice President and Chief Operating Officer and other officers and agents of the University, in connection with such maintenance, evaluation, and sale of the property and the administration and distribution of the University’s interest in same, are in all respects approved, ratified, and confirmed.


13. 2022-2024 BUDGET AMENDMENT FOR THE UNIVERSITY OF VIRGINIA

WHEREAS, the new budget amendment recommendation to support the prospective UVA Institute for Biotechnology represents a priority for the University;
